Welcome to Ryz Construction, LLC. These Terms and Conditions ("Terms") govern your use of our services, website, and any related applications (collectively, the "Services"). By engaging our Services, you agree to be bound by these Terms. Please read them carefully.
1. Scope of Services
Ryz Construction, LLC ("we," "us," or "our") provides construction management services, including but not limited to project planning, budgeting, scheduling, site supervision, and coordination with subcontractors and suppliers. The specific scope of work, deliverables, and timelines for any project will be detailed in a separate, written agreement ("Project Agreement") signed by both parties. In the event of a conflict between these Terms and a Project Agreement, the terms of the Project Agreement will prevail.
2. User and Client Responsibilities
As a client or user of our Services, you agree to:
Provide accurate, complete, and timely information necessary for the performance of our Services.
Secure all necessary permissions, licenses, and approvals required for your project, unless otherwise specified in the Project Agreement.
Provide safe and reasonable access to the project site for our employees, agents, and subcontractors.
Cooperate with us in all matters relating to the Services and comply with our reasonable instructions.
Ensure that your use of our website and digital platforms is lawful and does not infringe on the rights of any third party.

3. Payment Terms
Payment terms, including project fees, payment schedules, and accepted payment methods, will be outlined in the Project Agreement.
Invoicing: Invoices will be submitted according to the schedule defined in the Project Agreement.
Late Payments: Payments not received by the due date may incur late fees at a rate specified in the Project Agreement or the maximum rate permitted by law.
Disputed Charges: Any invoice disputes must be communicated to us in writing within ten (10) business days of receiving the invoice.
We reserve the right to suspend Services for non-payment of undisputed invoices.
4. Intellectual Property
All content on our website, including text, graphics, logos, and images, as well as all documents, plans, designs, and specifications created by us in the course of providing our Services, are the intellectual property of Ryz Construction, LLC or its licensors. You are granted a limited, non-exclusive license to use these materials solely for the purpose of your project as defined in the Project Agreement. You may not reproduce, distribute, or create derivative works from our intellectual property without our express written consent.
5. Limitation of Liability
To the fullest extent permitted by law, Ryz Construction, LLC, including its officers, directors, employees, and agents, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or goodwill, arising out of or in connection with our Services or these Terms.
Our total liability for any claim arising out of or relating to our Services or these Terms shall be limited to the amount paid by you to us for the Services rendered under the applicable Project Agreement in the six (6) months preceding the event giving rise to the claim.
We are not responsible for delays or failures in performance resulting from acts beyond our reasonable control, including but not limited to acts of God, labor disputes, material shortages, or governmental actions.
6. Indemnification
You agree to indemnify, defend, and hold harmless Ryz Construction, LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your violation of any rights of a third party.
7. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in the state of Texas. The arbitration shall be administered pursuant to the American Arbitration Association's Construction Industry Arbitration Rules. The decision of the arbitrator shall be final and binding on both parties.
8. Governing Law
These Terms and any action related thereto will be governed by the laws of the State of Texas, without regard to its conflict of laws provisions.
9. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make changes, we will post the revised Terms on our website and update the "Effective Date" at the top. Your continued use of our Services after the effective date of the revised Terms constitutes your acceptance of the changes.
